Job Description

Weaver, Simmons LLP is seeking a Corporate Law Clerk with a minimum of four (4) years experience to join our Sudbury office.

Primary duties/responsibilities include:

  • Drafting documentation related to incorporations, annual proceedings, dissolutions and annual resolutions;
  • Conducting minute book reviews and maintaining corporate records/registers;
  • Conducting corporate searches and analyzing/summarizing search results;
  • Assisting with corporate reorganizations, share and asset purchase/sale transactions;
  • Preparing and maintaining closing checklists;
  • Drafting and reviewing closing documents including resolutions, officers’ certificates and other supporting documents;
  • Preparing to close books and drafting reporting letters; and
  • Other duties as required.

Experience with the following software is considered an asset:

  • General working knowledge of Conveyancer, Teraview, PC Law, Microsoft Office, and Adobe software.
